Terms and Conditions of Use

1. Introduction

Welcome to AR Genie Inc. (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of:

• Our mobile applications (AR Genie Remote Assist for iOS and Android),
• And any related SaaS services, portals, or software we provide (collectively, the “Platform”).

By creating an account, accessing, or using our Platform, you agree to these Terms. If you do not agree, you must not use our services. Our services are intended for users aged 18 and older. By using the Platform, you confirm that you meet this requirement.

The Platform is hosted in Canada and available to users globally, including in the EU, UK, Iceland, Liechtenstein, Norway, USA, Japan, India, Australia, and Singapore.

3. Services Provided

The Platform offers Augmented Reality Remote Visual Assistance for real-time technical service support. Users can connect via live video streaming from iOS/Android devices to a web-based portal.

• Sessions are initiated by sharing a secure link or code via SMS or email.
• The Platform enables AR annotations, recording, file sharing, and remote troubleshooting.
• The Platform is intended for personal and internal business use only.

4. Accounts and Access

• To use the Platform, you must create an account.
• Access is authenticated via Single Sign-On (SSO).
• Accounts cannot be linked to social media accounts.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately of any unauthorized access or use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions, Trials, and Payments

• We offer subscription plans on a monthly or annual basis.
• Free Trial: You may begin with a 14-day trial. At the end of the trial, your account will automatically be charged based on the subscription plan you selected.
• Direct Subscription: You may also subscribe and pay without using the trial.
• Payments: Accepted payment methods are Visa, Mastercard, and American Express. All payments are processed in U.S. Dollars (USD).
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date.
• Cancellation: You may cancel at any time by logging into your web portal (billing section). Cancellations take effect at the end of the current billing cycle.

6. Prohibited Activities

You agree not to:

• Use the Platform to advertise or sell goods/services.
• Sell or transfer your profile.
• Reverse-engineer, decompile, disable, or attempt to extract source code.
• Circumvent security measures or create false sessions.
• Use bots, scripts, or automation to access the service.
• Upload or share harmful, illegal, or inappropriate content.
• Harass, impersonate, or abuse other users.
• Violate others’ privacy rights.
• Resell, sublicense, or provide AR Genie services without authorization.
• Build or promote competing services using AR Genie.
• Upload malware, viruses, or malicious code.
• Interfere with, disrupt, or attempt to gain unauthorized access to accounts, systems, or data.

7. User-Generated Content (UGC)

The Platform allows users to upload and share content, including:

• AR video recordings,
• Annotations, drawings, and markups,
• Shared documents such as PDFs, images, or 3D models.

You retain ownership of your UGC, but grant AR Genie a worldwide, royalty-free license to use, host, and process such content solely to provide and improve the services. You represent that your UGC will not infringe the rights of others or violate laws.

8. Intellectual Property

All rights, titles, and interests in the Platform (including software, design, and content) are owned by AR Genie Inc. Except for user content, no rights are transferred to you other than a limited, non-exclusive, non-transferable license to use the Platform as described in these Terms.

9. Privacy Policy

10. Dispute Resolution

Disputes will first be resolved through informal negotiations. If unresolved, disputes will proceed to binding arbitration in the United States. If litigation occurs instead, jurisdiction shall be Delaware, USA.

11. Limitation of Liability

Our liability for any claims is limited to the subscription fees paid by you. Liability will not exceed the equivalent of 3 months of subscription fees. We are not liable for indirect, incidental, or consequential damages.

12. Termination

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or misuse the Platform. You may terminate your account at any time by following the cancellation process described in Section 5.

13. Industry Compliance

The Platform complies with applicable industry-specific laws and regulations, including but not limited to GDPR, HIPAA, and ISO/SOC2 standards where required by client engagements.

14. End User License Agreement (EULA)

For SDKs, offline, or on-premise installations only, a separate End User License Agreement will apply. For cloud SaaS usage, these Terms apply.

15. Service Modifications

We may update, improve, or discontinue parts of the Platform with reasonable notice. Some features may change as part of ongoing service updates.

16. Indemnification

You agree to indemnify and hold harmless AR Genie Inc. from claims, damages, or expenses arising from your misuse of the Platform, violation of these Terms, or infringement of third-party rights.

17. International Use

You are responsible for complying with all local laws applicable to your use of the Platform in your jurisdiction, including the EU, UK, Iceland, Liechtenstein, Norway, USA, Japan, India, Australia, and Singapore.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, with venue in Delaware.

19. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AR Genie Inc. regarding the Platform.
